Particularly in the life science and biotech industries, companies may seek to finance operations through the sale or financing of future receivables or royalties.  These transactions raise unique issues under the UCC and the Bankruptcy Code with respect to how they may be enforced in distressed situations.  This panel will discuss case law addressing these and similar transaction structures, as well as some practical input on how these transactions are often structured to address these issues.
