In the current NPL cycle, increased competition, accelerated timelines, and uneven collateral performance are pushing transaction counsel to emphasize granular collateral diligence, precise transfer mechanics and servicing transitions, and forward‑planning for workouts and exits. The increased challenges of NPL transactions have echoes in increased challenges in asset realization strategies such as deed‑in‑lieu transactions, foreclosures strategies and note-on-note or facility leverage. We will discuss many of the pressure points new to this cycle and common across prior NPL cycles, including key considerations in portfolio diligence, transfer mechanics and documentation, guaranty enforcement and litigation management.
