Often in secured loan transactions, the borrower’s lawyer gives an opinion to the lender on the credit documents and the security interest and its perfection. To give these opinions, the opinion giver has to be knowledgeable about opinion letter practice and the UCC. This program will explain how to put these pieces together when giving these opinions, discuss the significance of assumption carve-outs, examine the ramifications of when those pieces leave gaps and discuss whether there is continued value in providing these types of legal opinions.
